Terms of Service

Please read these Terms of Service carefully before engaging OnlyTrue Strategy for any services. By submitting an audit request, signing a service agreement, or using our website, you agree to be bound by these terms.

1. About OnlyTrue Strategy

OnlyTrue Strategy ("OTS," "we," "us," or "our") is a local SEO and digital marketing agency providing Google Business Profile optimization, map pack ranking, and on-page local SEO services to businesses primarily located in New England. These Terms of Service govern your use of our website at onlytruestrategy.com and any services we provide to you.

2. Services

2.1 Scope of Services

OTS provides local SEO services including but not limited to Google Business Profile optimization, map pack ranking campaigns, local on-page SEO, citation building, review strategy, content creation, and reporting. The specific deliverables for each engagement are outlined in the service plan selected by the client (Basic, Standard, or Authority) and confirmed in writing prior to commencement.

2.2 Baseline Month

All new client engagements begin with a free Baseline Month during which OTS measures the client's current inbound call volume, GBP performance, and local rankings to establish a documented starting point. No optimization work is performed during the Baseline Month. This baseline is used to measure progress and validate the 15% call increase guarantee.

2.3 Service Commitment

All service plans require an initial 3-month commitment following the Baseline Month. After the initial commitment period, services continue on a month-to-month basis and may be cancelled with 30 days written notice. The Baseline Month is provided at no cost and does not count toward the 3-month commitment.

2.4 The 15% Call Increase Guarantee

OTS guarantees a minimum 15% increase in inbound calls within 90 days of completing the Baseline Month and commencing full optimization. This guarantee is measured against the documented baseline established during the Baseline Month. If the 15% threshold is not met within the 90-day window, OTS will continue providing services at no additional charge until the guarantee is fulfilled. This guarantee applies to clients who remain in compliance with all service agreement terms, including timely payment and reasonable cooperation in providing access to required platforms and accounts.

4. Payment Terms

4.1 Billing

Services are billed monthly in advance. Invoices are issued at the start of each service month and are due within 7 days of the invoice date. The Baseline Month is provided at no cost. Monthly fees are based on the service plan selected and confirmed in the client service agreement.

4.2 Late Payments

If payment is not received within 14 days of the invoice due date, OTS reserves the right to pause services until the outstanding balance is resolved. Accounts more than 30 days past due may be subject to a late fee of 1.5% per month on the outstanding balance. OTS reserves the right to terminate the engagement for non-payment with written notice.

4.3 Refunds

Monthly service fees are non-refundable once the service month has commenced. If OTS determines it is unable to deliver services as agreed due to circumstances within our control, we will work with the client in good faith to provide a credit or adjusted billing.

5. Intellectual Property

5.1 Work Product

Upon full payment of all fees due, OTS grants the client a non-exclusive, perpetual license to use all content, copy, and on-page optimizations created specifically for their business as part of the engagement. This does not include OTS's proprietary methodologies, internal tools, reporting templates, or strategy frameworks.

5.2 Client Materials

Clients retain ownership of all pre-existing materials, content, branding, and intellectual property provided to OTS. Clients grant OTS a limited license to use such materials solely for the purpose of delivering the agreed services.

5.3 Portfolio and Case Studies

OTS may reference client results in anonymized or aggregated form for marketing purposes (e.g., "a Manchester NH contractor saw a 22% increase in calls"). OTS will not use the client's business name or identifying information in public-facing case studies without prior written consent.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the engagement. OTS will not disclose client business data, performance metrics, or strategic information to third parties except as required by law or with the client's explicit consent. This obligation survives termination of the service agreement.

7. Limitation of Liability

OTS's liability in connection with any service engagement shall not exceed the total fees paid by the client in the three months immediately preceding the claim. OTS is not liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of business opportunity, or loss of data, even if advised of the possibility of such damages.

OTS does not guarantee specific Google ranking positions, as search engine algorithms are controlled by Google and subject to change at any time. Our 15% call increase guarantee is based on measurable inbound call volume, not ranking position.

8. Third-Party Platforms

Our services involve optimization within third-party platforms including Google Business Profile, Google Search, and others. OTS has no control over these platforms' policies, algorithms, or terms of service. Changes made by these platforms may affect the results of our services. OTS is not liable for any penalties, suspensions, or ranking changes caused by platform policy changes outside our control.

Clients are responsible for ensuring their own compliance with Google's guidelines and any other platform terms of service. OTS will only implement strategies that comply with Google's published guidelines.

9. Termination

9.1 Termination by Client

After the initial 3-month commitment, clients may terminate services with 30 days written notice sent to contact@onlytruestrategy.com. Fees for the final service month remain due in full.

9.2 Termination by OTS

OTS reserves the right to terminate any service agreement with 14 days written notice if the client breaches these terms, fails to make timely payments, or engages in conduct that makes continued service delivery impractical or harmful to OTS's reputation.

9.3 Effect of Termination

Upon termination, OTS will provide the client with access to all deliverables completed and paid for up to the termination date. OTS will remove its access to all client platforms within 14 days of termination.

10. Dispute Resolution

In the event of a dispute arising from these terms or any service engagement, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes will be submitted to mediation in Massachusetts before any legal action is pursued. These terms are governed by the laws of the Commonwealth of Massachusetts.

11. Modifications to These Terms

OTS reserves the right to update these Terms of Service at any time. Material changes will be communicated to active clients via email with at least 14 days notice. Continued use of our services after the effective date of any changes constitutes acceptance of the updated terms.
